These Terms and Conditions (“Terms”) govern your access to and use of the website located at axionova.network (the “Site”), and your participation in any presale, staking, airdrop, or other activity relating to the AXNV token (the “Token”) offered through the Site (collectively, the “Services”). The Services are operated by the Axionova project team (“Axionova,” “we,” “us,” or “our”), a pseudonymous, contributor-led initiative that is not currently organized as a registered corporate entity in any jurisdiction.
By accessing the Site or participating in the Services, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, you must not access the Site or participate in the Services.
1. Eligibility
By using the Services, you represent and warrant that:- You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher;
- You have the legal capacity to enter into a binding agreement;
- You are not a Restricted Person as defined in Section 6; and
- Your participation in the Services does not violate any law or regulation applicable to you.
2. Nature of the Project
AXNV is a utility token intended for use within the Axionova ecosystem, including staking, governance participation, and access to ecosystem products, as described in the Whitepaper. Nothing on the Site or in any related materials constitutes an offer or sale of securities, an offer of investment advice, financial advice, legal advice, or tax advice, in any jurisdiction. You are solely responsible for evaluating the merits and risks of acquiring or using AXNV and for obtaining independent advice before doing so. The legal classification of digital assets such as AXNV is unsettled in many jurisdictions, including India, where no comprehensive regulatory framework currently governs the issuance or sale of tokens of this kind. You acknowledge this uncertainty and accept that future regulatory developments could materially affect the Token, the Services, or your ability to use or transfer AXNV.3. Presale Participation and Purchases
Participation in the AXNV presale requires connecting a compatible digital wallet and submitting a supported cryptocurrency (e.g., USDT) in exchange for AXNV, at the price and allocation tier displayed on the Site at the time of your transaction. All blockchain transactions are irreversible once confirmed. All presale purchases are final. No refunds will be issued for any reason, including but not limited to a change of mind, market price fluctuation, delays in token distribution, or dissatisfaction with the Services, except where required by applicable law. You are responsible for verifying wallet addresses, network selection, and transaction details before submitting any purchase; Axionova is not responsible for funds lost due to user error, incorrect network selection, or third-party wallet or exchange failures.4. Risks
You acknowledge and accept that participation in the Services involves significant risk, including but not limited to:- Volatility and loss of value — the price of AXNV may fluctuate significantly or fall to zero, and there is no guarantee of any market, liquidity, or exchange listing for AXNV;
- Smart contract risk — despite internal security review, smart contracts may contain undiscovered vulnerabilities, and Axionova does not guarantee that any contract is free of defects or immune to exploitation;
- Regulatory risk — future laws or regulatory actions in any jurisdiction, including India, may restrict or prohibit the purchase, holding, or use of AXNV;
- Project risk — the ecosystem features described in the Whitepaper and roadmap are under active development and may be delayed, modified, or not delivered; and
- Custody risk — you are solely responsible for the security of your own wallet, private keys, and seed phrases. Axionova never has custody of your funds and cannot recover lost keys or reverse transactions.
5. No Guarantee of Governance, Staking Returns, or Ecosystem Delivery
References to future DAO governance, staking annual percentage rates, gaming utility, or other roadmap items are statements of current intent, not binding commitments. Staking rewards, lock terms, and penalties are governed by the applicable smart contracts in effect at the time of staking and may be adjusted for future participants as the ecosystem evolves.6. Restricted Persons
The Services are not offered to, and may not be used by:- Any “U.S. Person” as defined under U.S. securities laws, including citizens or residents of the United States, entities organized under U.S. law, or persons located within the United States at the time of the transaction;
- Any person or entity located in, incorporated in, or a resident of a country or region subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or other applicable sanctions authorities (including, without limitation, Cuba, Iran, North Korea, and Syria);
- Any person or entity appearing on any applicable sanctions or denied-persons list; and
- Any person under the age of 18 or below the legal age of majority in their jurisdiction.
